By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.

Happy Relocation provides relocation assistance services to individuals and businesses relocating to the United Arab Emirates. Our Services include, but are not limited to, housing search, administrative assistance, intercultural training, international moving, orientation tours, and local advice.

Please read these Terms carefully as they contain important information about your legal rights, remedies, and obligations.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "Company", "we", "us", or "our" refers to Happy Relocation, a company registered in the United Arab Emirates.
  • "User", "you", or "your" refers to any individual or entity that accesses or uses our Services.
  • "Services" refers to all services provided by Happy Relocation, including but not limited to relocation assistance, housing search, administrative support, and other related services.
  • "Website" refers to the Happy Relocation website and any associated domains or subdomains.
  • "Content" refers to all information, text, images, data, links, software, or other material that we provide through our Services.

3. Service Usage Terms

3.1 Service Description

Happy Relocation provides relocation assistance services to help individuals and businesses relocate to and settle in the United Arab Emirates. The specific services provided will be outlined in a separate service agreement or proposal provided to you.

3.2 Service Availability

We strive to ensure that our Services are available at all times. However, we do not guarantee that our Services will be available without interruption, delay, or imperfection. Access to our Services may be suspended temporarily without notice in case of system failure, maintenance, or repair, or for reasons beyond our control.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will make reasonable efforts to notify you of significant changes to our Services that may affect you.

3.4 Third-Party Services

Our Services may include referrals to third-party service providers. We are not responsible for the actions, services, or content of these third parties. Your use of third-party services is subject to their respective terms and conditions.

4. User Responsibilities

4.1 Accurate Information

You agree to provide accurate, current, and complete information when using our Services. You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.

4.2 Compliance with Laws

You agree to comply with all applicable laws and regulations of the United Arab Emirates while using our Services. This includes, but is not limited to, visa regulations, residency requirements, and local customs and traditions.

4.3 Prohibited Activities

When using our Services, you agree not to:

  • Interfere with or disrupt our Services

We comply with the data protection laws of the United Arab Emirates and take reasonable measures to protect your personal information. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Happy Relocation or our licensors and are protected by UAE and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use. This license does not include the right to:

  • Modify or copy our materials
  • Use our materials for any commercial purpose
  • Transfer our materials to another person or "mirror" them on any other server
  • Use any data mining, robots, or similar data gathering methods

6.3 User Content

By submitting content to us (such as feedback, suggestions, or testimonials), you grant us a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

7. Liability Limitations

7.1 Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the operation of our Services or the information, content, or materials included therein. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability

To the fullest extent permitted by law, Happy Relocation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, resulting from:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers and/or personal information stored therein
  • Any interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, or other harmful code that may be transmitted through our Services

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us for the Services during the six (6) months preceding the claim.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless Happy Relocation and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

You agree that any legal action or proceeding between you and Happy Relocation shall be brought exclusively in the courts located in the United Arab Emirates, and you hereby consent to the personal jurisdiction and venue of such courts.

9. Dispute Resolution

9.1 Informal Resolution

Before filing a claim against Happy Relocation, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within 30 days of submission, either party may proceed with formal dispute resolution.

9.2 Formal Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled by arbitration in accordance with the UAE Federal Law No. 6 of 2018 on Arbitration.

The arbitration shall take place in Dubai, UAE, and shall be conducted in the English language. The arbitral tribunal shall consist of one arbitrator appointed in accordance with the said rules. The decision of the arbitrator shall be final and binding on both parties.

9.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our Website. Your continued use of our Services after such notification constitutes your acceptance of the modified Terms.

It is your responsibility to review these Terms periodically to stay informed of updates. If you do not agree with the modified Terms, you must stop using our Services.
